Please read these Terms of Service (“Terms”) carefully before accessing or using the website, mobile applications, SDKs, APIs, or related services (collectively, the “Services”) provided by Aida, Inc. (“Aida,” “we,” “us,” or “our”) at https://aida.vc (the “Site”). By accessing or using any of the Services, you agree to be bound by these Terms and any related policies incorporated herein by reference. If you do not agree with any part of these Terms, you must immediately cease all use of the Services. Continued use constitutes acceptance of these Terms.

1. Acceptance of Terms

Your access to and use of the Services is conditioned on your acceptance of and compliance with these Terms. You represent that you have the authority to bind yourself (and, if applicable, the legal entity on whose behalf you act) to these Terms. Continued use of the Services after any updates to these Terms will constitute your acceptance of those changes.

2. Changes to These Terms

We may revise these Terms at any time, in our sole discretion, by posting the updated Terms on the Site with a new “Last updated” date. You are responsible for reviewing these Terms periodically. If you do not agree with any changes, your sole remedy is to discontinue use of the Services.

3. Eligibility

By using the Services, you represent that you are at least 13 years of age and have the legal capacity to enter into and comply with these Terms. If you do not meet these requirements, you may not access or use the Services.

4. License Grant; Access and Permitted Uses

Subject to your compliance with these Terms, Aida grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
  • Access and use the Services for your internal business purposes.
  • Integrate and use any provided SDKs or APIs in accordance with our documentation.
  • Create, view, and manage support content or user assistance content through the Services.

5. Prohibited Activities

When using the Services, you agree not to:
  • Transmit or upload any content that is unlawful, infringing, harmful, defamatory, obscene, or otherwise objectionable.
  • Upload malware, viruses, or any harmful code.
  • Misrepresent your identity or affiliation.
  • Harvest or collect information about other users.
  • Advertise or solicit without our express permission.
  • Interfere with or disrupt the integrity or performance of the Services.
  • Scrape, copy, or sublicense any portion of the Services without prior written consent.
  • Reverse engineer, decompile, or disassemble the Services.
  • Assist anyone else in engaging in prohibited activities.

6. Account Registration

To access certain features, you may be required to register for an account. You agree to:
  • Provide accurate, complete, and current information.
  • Maintain the confidentiality of your account credentials.
  • Notify us promptly of any unauthorized use of your account.

7. User Content, Feedback, and Unsolicited Ideas

User Content: You are solely responsible for all content you submit through the Services (“User Content”). You represent and warrant that you own or have all necessary rights to your User Content and that its submission complies with these Terms and all applicable laws. By submitting User Content, you grant Aida a worldwide, royalty-free, perpetual, sublicensable license to use, reproduce, modify, publish, and distribute it. Feedback & Submissions: We welcome your feedback and ideas but cannot guarantee confidentiality or compensation. By providing feedback or unsolicited ideas, you grant us a perpetual, irrevocable, royalty-free license to use and incorporate them into our products and services.

8. Intellectual Property and Trademarks

All materials on the Site—including text, graphics, logos, icons, audio clips, digital downloads, and software—are owned by Aida or its licensors and protected by copyright, trademark, and other laws. Except for the limited rights expressly granted herein, no portion of the Services may be copied, reproduced, modified, distributed, or otherwise exploited without our prior written consent. All trademarks, service marks, and trade names displayed on the Site are proprietary to Aida or their respective owners. You may not use, reproduce, or display any such marks without prior written permission. The Services may integrate with or link to third-party applications, websites, or services. We do not endorse or assume any responsibility for third-party content or practices. Your use of any third-party services is at your own risk.

10. Data Collection, Storage, and Privacy

Through your use of the Services, we may collect and store:
  • Aggregated analytics data about feature usage and user behavior.
  • Support conversation history for troubleshooting and analytics.
  • Configuration settings and customer feedback.
We anonymize and aggregate user data and do not retain personally identifiable information beyond what is necessary to provide the Services. Our Privacy Policy governs our processing of personal data and is incorporated herein by reference.

11. SDK and API Usage

Our SDKs and APIs are provided for integration into your applications. You agree to:
  • Follow our implementation guidelines and documentation.
  • Keep all credentials secure and not exceed published rate limits.
  • Update to the latest stable versions.
  • Not modify core functionality beyond documented customization options.
We reserve the right to modify, deprecate, or suspend any SDK or API feature with notice.

12. Subscriptions; Fees and Payments

Certain Services require payment of subscription fees (“Subscriptions”) billed through our payment processor on a recurring basis (e.g., monthly or annually). All fees are non-refundable unless required by law. Subscriptions auto-renew unless canceled prior to the renewal date. You are responsible for any applicable taxes.

13. Service Level Agreement (SLA)

For paid plans, Aida strives for 99.9% uptime, measured monthly. Scheduled maintenance windows will be announced at least 48 hours in advance. Service credits, if any, for downtime outside the SLA will be issued in accordance with our SLA policy.

14. Beta Features

We may offer pre-release or beta features (“Beta Features”) for evaluation. Beta Features are experimental and provided “as-is.” We may modify or discontinue Beta Features at any time without liability.

15. Disclaimers; Warranties and Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIDA DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. UNDER NO CIRCUMSTANCES WILL AIDA OR ITS AFFILIATES BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR ANY AMOUNT EXCEEDING USD 100.

16. Indemnification

You agree to defend, indemnify, and hold harmless Aida and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys’ fees) arising from:
  • Your use of the Services.
  • Your User Content.
  • Your violation of these Terms or applicable law.

17. Export Control Compliance

You may not use or export the Services in violation of U.S. export laws and regulations. You represent that you are not located in, or a national of, any country subject to U.S. economic sanctions or embargoes, and that you will not use the Services for any prohibited end-use.

18. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas, without regard to its conflicts of law principles. You and Aida submit to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas.

19. Suspension and Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, you must destroy any material obtained from the Services and cease all use. Provisions regarding intellectual property, disclaimers, indemnity, and limitation of liability will survive termination.

20. Waiver; Severability; Entire Agreement

No failure to enforce any right is a waiver of that right. If any provision is held unenforceable, the remainder will continue in full force. These Terms constitute the entire agreement between you and Aida regarding the Services and supersede all prior or contemporaneous agreements.

21. Account Termination and Data Management

You may terminate your account at any time via the Site or by contacting support. Upon termination, your data will be retained for 30 days for account recovery, then permanently deleted (backup copies retained up to 90 days). We may retain certain data to comply with legal obligations.

22. Communications and Analytics

By creating an account, you agree to receive transactional and marketing communications from us. You may opt out of marketing messages at any time. We may use third-party analytics tools to monitor and improve the Services.

23. Logo Permission

By entering into these Terms, you grant us a non-exclusive, royalty-free right to use your logo solely to identify you as a customer in marketing materials, case studies, and on our Site, in accordance with any guidelines you provide.

24. California Users and Residents

If you are a California resident with a complaint that we have not satisfactorily resolved, you may contact the California Department of Consumer Affairs, Division of Consumer Services, at 1625 North Market Blvd., Suite N-112, Sacramento, CA 95834, or (800) 952-5210.

25. Force Majeure

Neither party will be liable for delays or failures due to events beyond its reasonable control (e.g., natural disasters, acts of war, labor disputes). The affected party will promptly notify the other and use reasonable efforts to resume performance.

26. Updates to These Terms

We may update these Terms to reflect changes in our practices or for other operational, legal, or regulatory reasons. If we make material changes, we will notify you by email or via the Site. Continued use after any update constitutes acceptance of the revised Terms.
